1. Scope of Services
   We provide specialized professional services, including but not limited to transcreation, cultural adaptation, brand messaging optimization, and social media strategy and execution tailored for the Japanese market. The specific scope, deliverables, and timelines for any engagement will be outlined in a separate Statement of Work (SOW) or service agreement agreed upon by both parties.

2. Nature of Services & No Outcome Guarantee Professional Diligence:
   We commit to executing all services with high professional standards, linguistic craftsmanship, and dedication to your brand's integrity. No Guarantee of Results: We provide creative, strategic, and operational execution services; we do not guarantee specific commercial outcomes, sales figures, conversion rates, traffic growth, or return on investment (ROI). Market performance in Japan depends on various external factors, including consumer behavior, economic conditions, and competitive landscapes beyond our control. Process-Driven Model: Our fees and charges compensate us for our professional time, expertise, creative output, and execution processes, not for guaranteed business results.

3. Intellectual PropertyRights
   Client IP: You retain all rights to your pre-existing brand assets, logos, trademarks, and original source materials provided to us. Deliverables: Upon full payment of all applicable fees, the final transcreated copy, translated texts, and social media content created specifically for you under an active engagement shall become your property, or licensed to you as specified in the individual agreement. Agency Tools: We retain ownership of all proprietary methodologies, know-how, general templates, and internal processes developed independently by Weave Words Japan.

4. Client Responsibilities & Timelines
   To ensure the quality and timeliness of our services, you agree to:
   Provide necessary brand guidelines, source materials, and feedback in a timely manner.
   Designate a primary point of contact for communications and approvals.
   Delays in client feedback or provision of materials may result in adjusted timelines, for which Weave Words Japan assumes no liability.

5. Fees and Payment
   Fees for individual engagements are outlined in the applicable quote or Statement of Work (SOW), and may include a minimum project fee to cover baseline scoping, communication, and quality assurance costs regardless of project size. Payment Terms: Net 30 days from the invoice date. Late payments may incur interest in accordance with applicable laws or standard business practices. Invoicing Method: We support digital invoicing via Peppol. Where applicable, invoices will be issued via Peppol using your registered details (Peppol ID and PO requirements). Otherwise, a PDF invoice will be issued.

6. Value Added Tax (VAT)
   This transaction is VAT-exempt in Japan as an export of services. The Reverse Charge Mechanism applies to the customer; therefore, the customer is responsible for reporting and accounting for VAT in their respective country. No Japanese Consumption Tax will be charged.

7. Confidentiality
   Both parties agree to keep confidential any non-public business, brand, or strategic information shared in the course of an engagement, and to use such information solely for the purpose of providing or receiving the services. This obligation survives the completion or termination of any engagement.

8. Termination
   Either party may terminate an active engagement with 30 days' written notice. In the event of termination, the client agrees to pay for all services performed and expenses reasonably incurred up to the effective date of termination. 

9. Limitation of Liability
   Weave Words Japan G.K. shall not be liable for any indirect or consequential damages arising from the use of the content we deliver. Our total liability is limited to the amount paid for the specific project, except in cases of gross negligence or willful misconduct. (Note: this replaces the earlier draft, which referred only to "translated content" — since our services extend beyond translation to transcreation, brand messaging, and social media content, "the content we deliver" is used here to cover the full scope of what we provide.)

10. Force Majeure
    Neither party shall be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, or major technical or infrastructure failures.

11. Governing Law & Jurisdiction
    These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Japan.

12. Changes to Terms
    We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of our website or services following any changes constitutes your acceptance of the revised Terms.
